1. Acceptance

5. Prohibited activities
You agree not to engage in any activity that is unlawful, harmful, deceptive, or that undermines the integrity, security, or availability of the Site. Prohibited activities include, but are not limited to:

- Reverse engineering, decompiling, disassembling, or attempting to derive source code or underlying ideas from the Site.

We do not warrant that the Site will be uninterrupted, error free, secure, or free of viruses or other harmful components. We do not warrant that content is complete, accurate, or up to date. Any reliance on the Site content is at your own risk.
The Site may reference third party tools or services. We do not warrant those third party offerings and are not responsible for their performance, policies, or availability.
7. Limitation of liability
To the maximum extent permitted by applicable law, Northway Digital Compass and its owners, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, business interruption, or loss of goodwill, arising out of or related to your use of, or inability to use, the Site.
To the maximum extent permitted by applicable law, our total aggregate liability for direct damages arising out of or related to these Terms or the Site will not exceed the amount you paid to us in the twelve months preceding the event giving rise to the claim or 100 EUR, whichever is lower.
Some jurisdictions do not allow certain limitations of liability. In such cases, the above limitations apply to the greatest extent permitted by law.
8. Indemnification
You agree to indemnify, defend, and hold harmless Northway Digital Compass and its owners, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Site, (b) your violation of these Terms, or (c) your violation of any rights of another person or entity.

We do not control and are not responsible for the content, security, availability, or practices of third party sites and services. 11. Governing law
These Terms and any dispute arising out of or related to the Site will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Subject to Section 12, you agree that the courts located in Toronto, Ontario will have exclusive jurisdiction over disputes related to these Terms or the Site.
12. Dispute resolution
If you have a concern or dispute, you agree to contact us first and allow us at least 30 days to try to resolve the issue informally. You can reach us through the contact details in Section 15.
If a dispute cannot be resolved informally within that period, either party may bring a claim in the courts specified in Section 11, unless applicable law requires a different forum. Nothing in this section limits your right to seek urgent injunctive relief in a court of competent jurisdiction.
13. Termination
We may suspend or terminate your access to the Site at any time, with or without notice, if we reasonably believe you have violated these Terms or if we need to protect the security, availability, or integrity of the Site.
Upon termination, the license granted to you in these Terms will end. Sections that by their nature should survive termination will survive, including Sections 4 (Intellectual property), 6 (Disclaimer of warranties), 7 (Limitation of liability), 8 (Indemnification), 11 (Governing law), 12 (Dispute resolution), and 15 (Contact).
14. Modifications
We may modify these Terms from time to time to reflect changes to the Site, legal requirements, or operational practices. Updated Terms will be posted on this page. Changes will become effective 14 days after posting unless a shorter period is required to address legal or security issues.
Your continued use of the Site after the effective date of updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Site.
